Governance and delivery infrastructure for independent technical talent.

From ungoverned contractors to controlled operations.

GradeSkill turns independent technical talent — software, data, AI, and cloud specialists — into a governed, audit-ready operational capability for enterprise and regulated clients. One U.S. vendor contract. Full delivery, access, and IP control.

Built for teams where contractor access to code, data, and infrastructure is a real risk.

The market solved hiring contractors. It didn't solve operating them.

Most companies can already find and pay independent talent. The real exposure shows up after that — in how the work is governed, who controls access, and what happens when a contractor leaves.

Misclassification & Legal Exposure

A single reclassified contractor can trigger back-taxes, unpaid FICA, and state civil penalties of $5,000–$25,000 per violation — with the IRS able to audit up to six years of records, plus willful-violation fines and criminal exposure. GradeSkill operates as the contractual vendor, giving you a structured, auditable layer between your company and the individual.

IP & Confidentiality

Code written by a contractor belongs to the contractor — not to you — unless a written assignment exists. Missing or defective IP assignments are the most common finding in tech M&A due diligence, and the fastest way to lose value in a raise or exit. We enforce NDA and presently-effective IP assignment through controlled contracting and offboarding, so your work product is provably yours.

Delivery & Continuity

When a contractor with production access and undocumented context leaves mid-project, the exposure isn't just delay — it's risk on critical systems with no recovery plan. GradeSkill adds performance tracking, escalation paths, and replacement coverage so delivery — and institutional knowledge — survive the transition.

How it works

You keep the talent. We provide the operating system: legal wrapper, access governance, and delivery oversight.

1

Bring your contractor — or ask us to source.

Already have a candidate? We validate and activate them. If not, we source vetted profiles matched to your role, stack, and time-zone needs.

2

You contract GradeSkill — one unique vendor.

One MSA/SOW, one invoice, no cross-border individual contracting. Procurement deals with a single vendor relationship.

3

We activate the contractor into a controlled operational system.

Local compliance, payment administration, NDA/IP enforcement, and role clarity — so nothing starts informally.

4

Access governance from day one.

Structured access provisioning, review, and revocation, with an evidence trail available for security and procurement review.

5

Ongoing delivery oversight and reporting.

Status reporting, escalation paths, and performance management — accountability that goes beyond “just a contractor.”

How it works

One activation system. Three levels of operational control.

Every engagement runs on the same operational foundation. You choose how much active governance sits on top of it.

Foundation — The Activation System

Included with every engagement

$500 one-time / contractor

Transforms external talent into a controlled operational asset from day one: structured contractor lifecycle, access provisioning, and offboarding design.

Security & compliance

In software and data projects, the primary risk is human access — to source code, cloud infrastructure, and production systems. GradeSkill is built around controlled onboarding, access governance, and offboarding evidence.

SOC-2-aligned control framework

We operate under a control framework aligned to SOC-2 principles — covering identity verification, least-privilege access, time-bound provisioning, and auditable revocation. Control documentation and evidence artifacts are available for procurement and security review on request.

Access management & offboarding

Access provisioning, review, revocation, and evidence trails are enforced on every engagement, supporting procurement and security reviews — and ensuring no residual access after a contractor offboards.

Not staffing. Not payroll. Not a marketplace.

GradeSkill sits in a category procurement and legal teams don't usually have a name for yet: operational infrastructure for independent talent.

Category What it solves
Recruiters / Staffing Talent access and supply
EOR Global employment and workforce infrastructure
PMOs / Agencies Task coordination
Freelancer marketplaces Fragmented sourcing for short-term projects
GradeSkill Independent talent infrastructure for controlled, reliable, and scalable operations

GradeSkill combines the capabilities of staffing and EOR providers, then goes beyond them with operational governance and delivery accountability.

FAQ

Common questions from procurement, legal, and security teams.

Can we bring our own contractor?

Yes. We onboard your existing contractor under the GradeSkill framework and handle contracting, compliance, payments, and access governance.

If you don’t have a contractor yet, we can also source senior technical professionals — frontend, backend, full-stack, and mobile developers, UX/UI designers, ML/AI engineers, QA and test automation specialists, DevOps and cloud engineers, database administrators, data engineers, and technical project managers, among other technical roles.

Do contractors negotiate directly with us?

No. Your company contracts only with GradeSkill. If you bring your own contractor, compensation is already agreed between you and the contractor. If we source, you provide the monthly budget and we negotiate and contract within it.

Is GradeSkill an Employer of Record (EOR)?

GradeSkill is not a traditional EOR. While we provide many of the capabilities of an EOR—such as compliant contracting, payments, onboarding, and a single accountable vendor—we are purpose-built for independent contractors, not employees. We go beyond traditional EOR services by adding operational governance, delivery oversight, access management, IP protection, and continuity assurance.

What’s the difference between Business and Enterprise?

Business establishes the legal, financial, and governance foundation for engaging independent contractors through a single vendor. Enterprise adds active operational management and governance—including delivery oversight, performance management, audit-ready documentation, proactive risk management, and priority continuity support—for organizations that rely on contractors as a strategic part of their operations.

Do you replace contractors who don’t perform?

Yes. Replacement support is included in both Business and Enterprise. Business includes standard replacement support, while Enterprise includes premium replacement SLAs and waives the activation fee for the replacement contractor. In both cases, we first provide remediation and escalation support to stabilize delivery before a replacement is triggered.

What happens if we terminate a contractor engagement?

GradeSkill manages controlled offboarding: access revocation, contract termination, IP confirmation, and handover where applicable — ensuring no residual access, clean IP ownership, and an auditable termination record.

Are these employees, freelancers, or independent contractors?

Independent contractors — engaged through GradeSkill as the contracting vendor, not hired directly by you. We deliberately avoid the "freelancer" model: informal freelancer relationships are where misclassification, IP, and continuity risk originate. By structuring every engagement as a governed contractor relationship under a single vendor, the legal status is clear, defensible, and audit-ready.
